This page is a ready‑to‑publish template for a WooCommerce store. It is not legal advice. Please adapt bracketed items and business‑specific details (e.g., return window, warranty length, governing law) before publishing.
1) Definitions
-
Site: our website built on WordPress + WooCommerce, including all pages, content, and services.
-
Products: goods and (if applicable) digital content, software, and accessories we offer for sale.
-
Order: your request to purchase Products via the Site.
-
Consumer: an individual acting wholly or mainly outside their trade, business, craft, or profession.
-
Business Customer: any non‑Consumer (e.g., company, reseller, organization).
2) Acceptance of these Terms
By accessing the Site, creating an account, or placing an Order, you agree to these Terms. If you do not agree, do not use the Site. We may update these Terms from time to time; the version shown by the Last updated date applies to your use after it is posted. For Orders already accepted, the version effective at the time of the Order applies.
3) Eligibility & Account
You must be at least the age of majority in your jurisdiction to place Orders. You are responsible for keeping your account credentials confidential and for all activities under your account. Notify us promptly of unauthorized use.
4) Ordering & Contract Formation
-
Placing an Order: Add Products to the cart, proceed through checkout, and submit your Order.
-
Acknowledgement: We may send an automatic email acknowledging receipt. This does not mean we have accepted your Order.
-
Acceptance: A binding contract is formed when we send an Order acceptance/dispatch confirmation or deliver the Products, whichever occurs first. We may decline all or part of an Order for reasons including stock unavailability, suspected fraud, pricing or description errors, or inability to obtain payment authorization.
-
Backorders/Pre‑orders: Estimated ship dates are indicative only. We may revise dates; you can cancel before dispatch for a full refund.
5) Pricing, Taxes & Currency
Prices are shown in the currency indicated on the Site. Taxes, duties, shipping, and handling are shown at checkout where applicable. For international shipments (outside the ship‑from country), you may be the importer of record and responsible for customs duties, taxes, and fees.
6) Payment
We accept the payment methods displayed at checkout and use third‑party processors to handle payments securely. We do not store full payment card numbers or CVV. You authorize us (or our processor) to charge your selected method for the Order total, including shipping, tax, fees, and related charges. We may run fraud checks and may refuse or cancel an Order if payment cannot be authorized.
7) Shipping, Delivery & Risk of Loss
We ship to the regions listed on the Site. Delivery timelines shown are estimates and exclude customs delays and events outside our control. Risk of loss and title pass to you upon delivery to the shipping address (or, for Ex‑Works/EXW pickup if agreed, upon carrier pickup). For international deliveries, unless stated otherwise, shipments are made DAP (Delivered At Place) Incoterms® 2020: you pay import duties/taxes to the carrier or customs.
8) Inspection & Damages
Please inspect packages upon delivery. If items arrive damaged or missing, contact the carrier and us within 3 business days with photos and your Order number so we can assist with a claim or replacement.
9) Returns & Refunds (Consumer purchases)
Unless a different policy is stated on the product page or required by law, we offer a 30‑day return window from delivery for unused items in original condition and packaging. To start a return, contact us for an RMA and instructions. Non‑returnable: custom/special orders, clearance/final sale, perishable or hygienic items once unsealed, downloadable software or activation codes, and items with visible signs of use or damage. Refunds are issued to the original payment method minus any original shipping, insurance, duties/taxes, and return shipping (unless the return is due to our error). We may charge up to a 15% restocking fee for non‑defective returns where permitted by law.
10) Business Customer Returns
For Business Customers, all sales are final except for defective items covered by warranty or as otherwise agreed in writing.
11) Warranty
We provide a 12‑month limited warranty from delivery against defects in materials and workmanship under normal use. We will, at our option, repair, replace, or refund (prorated) the Product. The warranty excludes consumables, normal wear and tear, misuse, improper installation, unauthorized modifications or repairs, and damage from external causes (e.g., power surges, liquids). Warranty service may require proof of purchase and returning the item to an authorized service center. Some regions provide additional mandatory rights that apply.
12) Product Information, Compatibility & Installation
We strive for accuracy, but specifications, dimensions, weights, and compatibility information are provided for general guidance and may change without notice. Ensure suitability for your intended use before ordering. Installation should follow our manuals and applicable standards; professional installation may be required for certain Products.
13) Software/Firmware & Digital Content
If Products include software/firmware or you purchase/download digital content, you receive a limited, non‑exclusive, non‑transferable, revocable license to use it with the Product for its intended purpose. You may not reverse engineer, decompile, or circumvent security features except to the extent permitted by law. Updates may be provided automatically or on request. Separate license terms may apply and will control in case of conflict.
14) Promotions, Coupons & Store Credit
Promotions and coupons are subject to their stated terms, may be limited to certain Products or dates, are non‑transferable, have no cash value, and cannot be combined unless expressly stated. We may cancel or adjust an Order if a promotion is used in violation of its terms or due to abuse/mistake.
15) Subscriptions/Recurring Services (if offered)
If you enroll in a subscription, it will auto‑renew at the then‑current price until cancelled. You can cancel from your account at least 48 hours before the next billing date to avoid further charges. Partial periods are not refunded unless required by law.
16) User Content & Reviews
If you submit reviews, questions, images, or other content, you grant us a worldwide, royalty‑free, perpetual license to use, reproduce, display, and adapt that content for marketing and operational purposes. Do not submit content that is unlawful, infringing, defamatory, obscene, or that contains personal data of others without consent. We may remove content at our discretion.
17) Acceptable Use
You must not misuse the Site, interfere with its operation, introduce malware, or attempt to gain unauthorized access. You must not use the Products for unlawful purposes.
18) Intellectual Property
All Site content (text, graphics, logos, images, videos, software) is owned by us or our licensors and protected by applicable laws. You may not copy, distribute, or create derivative works without our consent, except as allowed by law.
19) Third‑Party Services & Links
We may provide access to third‑party tools, apps, payment services, or links. We do not control and are not responsible for third‑party content or practices. Your use of third‑party services is at your own risk and may be governed by their terms and privacy policies.
20) Export Control & Sanctions
You represent that you are not located in, under the control of, or a national or resident of any country or person on which applicable export controls or sanctions prohibit transactions. You agree not to export, re‑export, or transfer Products in violation of applicable export, sanctions, or embargo laws.
21) Anti‑Corruption
You agree to comply with applicable anti‑bribery and anti‑corruption laws, including, without limitation, the U.S. FCPA and U.K. Bribery Act, where applicable.
22) Privacy
Our collection and use of personal information are described in our Privacy Policy, incorporated by reference. Please review it before using the Site or placing an Order.
23) Disclaimers
Except as expressly stated, the Site and Products are provided “as is” and “as available” to the maximum extent permitted by law. We disclaim all implied warranties (merchantability, fitness for a particular purpose, non‑infringement) to the extent permitted. This does not affect statutory rights that cannot be excluded.
24) Limitation of Liability
To the fullest extent permitted by law, we are not liable for (a) indirect, incidental, special, consequential, incidental, or punitive damages; (b) loss of profits, revenue, business, data, or goodwill; (c) interruptions or delays beyond our control. Our total aggregate liability for any claim relating to the Site or Products shall not exceed the amount you paid for the Product(s) giving rise to the claim in the 12 months preceding the event. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot legally be limited.
25) Indemnity (Business Customers)
Business Customers agree to indemnify and hold us harmless from claims, damages, and expenses arising out of their improper use or resale of Products or breach of these Terms.
26) Force Majeure
We are not responsible for failure or delay due to events beyond our reasonable control (e.g., natural disasters, epidemics, strikes, war, government actions, power or internet failures, supplier issues). We will resume performance as soon as reasonably possible.
27) Governing Law & Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Products shall be governed by the laws of the People’s Republic of China (excluding its conflict‑of‑laws rules). Courts with jurisdiction in Suzhou, Jiangsu, China shall have exclusive jurisdiction, except that Consumers may bring claims in the courts of their habitual residence where required by mandatory law, and you may have additional consumer protections under your local laws.
